Foundational Questions

In diligence, rework rarely starts with a bad model or a weak technical analysis. More often, it starts earlier: when a team begins moving quickly before everyone has the same foundational understanding of the target company, the client’s objectives, the key diligence questions, and the assumptions guiding the work.

In our diligence practice, we realized we needed a similar framework. In one instance, we found ourselves spending all night before a deadline rebuilding entire sections of a report because a teammate had either misunderstood or missed entirely a critical piece of information that derailed their analysis. Of course, with the fast-paced nature of deal work, asking our client to extend the deadline was not an option.

In our after-action review to discuss the successes and failures of the project, the team agreed that finding a solution to limit knowledge gaps was our biggest priority. None of us wanted to go through the stress of another last-minute, all-night rewrite. The issue was not lack of experience; even seasoned professionals can fall into the bad habit of delving into the data before establishing a foundational understanding. The issue was that we lacked a process that ensured every team member was aligned in a unified understanding of the target company, its business models, and industry dynamics, in addition to our client’s goals in hiring us and our own goal as a firm in taking on the project.

To protect against the pitfall we had experienced before, we developed a framework of Foundational Questions© to build a deep, intuitive understanding of the business being studied and what we are being tasked to diligence. Our Foundational Questions© are divided into two main categories: questions specific to the Project/Client and questions specific to the Target/Company. Each category contains five targeted questions that help our team center understanding around what we already know and align in direction around what we do not know or what our embedded assumptions might be.

When we implemented the Foundational Questions© framework at the beginning of our next projects, we noticed that our team was asking better questions and raising key diligence issues earlier in the project timeline. In addition, we were creating better deliverables with less rework and fewer errors than before. Much like formalizing abstract thoughts into a first draft, Foundational Questions© helps us collectively identify the known information as well as the unknown, ensuring that there are no knowledge gaps across our team and that goals are clearly articulated so that our diligence process is optimized.

Many of our Private Equity Primer clients have adopted the Foundational Questions© framework for these same reasons. While the process requires only 30 to 60 minutes at the start of a deal or diligence project, it encourages more thoughtful discussions sooner, reduces the risk of diligence misses and rework, and creates a shared understanding that allows individual team members to operate with greater autonomy.

This kind of foundational misalignment is easier to dismiss than it should be. Shortly after we began deploying the Foundational Questions© framework, we were on a readout call for a deal that had been in diligence for roughly six months. The private equity firm was nearing an investment decision, yet a GP on the call was still not fully clear on the target company’s business model. That moment reinforced exactly why the framework matters: without a structured process for aligning on the basics, even sophisticated teams can get deep into diligence without a shared understanding of what they are actually evaluating.

At Private Equity Primer, we coach diligence teams to approach any project with our Foundational Questions© framework. Because we believe in it so strongly, the Foundational Questions© framework is featured in many of our courses as well as its own, standalone course.
